Welcome to MakeItAGig.com (“Platform”, “we”, “us”, or “our”). These Terms of Use govern your access to and use of our website, applications, and related services.

By creating an account, posting a job, applying for a job, hiring a freelancer, accepting work, or otherwise using the Platform, you agree to these Terms.

1. Role of the Platform

MakeItAGig.com provides an online marketplace that enables individuals and organizations (“Clients”) to post jobs, projects, assignments, or other work opportunities and enables individuals or businesses (“Freelancers”) to discover, apply for, and perform such work.

Unless explicitly stated otherwise, we are not a party to the agreement between a Client and a Freelancer.

We do not employ Freelancers and do not act as an employer, staffing agency, recruitment agency, contractor, subcontractor, agent, representative, partner, or joint venture of any user.

Users are responsible for deciding whether to enter into an engagement with another user.

2. No Guarantee of Users or Opportunities

We do not guarantee:

  • the identity, background, qualifications, experience, financial capacity, or legal status of any user;
  • that information supplied by a Client or Freelancer is accurate or complete;
  • that a posted job is genuine, suitable, available, lawful, or accurately described;
  • that a Freelancer will perform work satisfactorily or within the agreed timeline;
  • that a Client will hire a Freelancer or provide continuous work;
  • that a Client will make payment as agreed; or
  • that any user will comply with an agreement entered into with another user.

Any verification or screening performed by the Platform should not be considered an endorsement, certification, warranty, or guarantee of a user.

3. User Responsibility and Due Diligence

Users are responsible for conducting their own due diligence before entering into an engagement.

Clients should independently evaluate a Freelancer’s qualifications, experience, capabilities, availability, references, and suitability.

Freelancers should independently evaluate Clients, job descriptions, payment terms, work requirements, and other relevant information before accepting work.

Users participate in engagements at their own discretion and risk.

4. Agreements Between Clients and Freelancers

The Client and Freelancer are responsible for agreeing upon the terms governing their engagement, including:

  • scope of work;
  • deliverables;
  • timelines and milestones;
  • acceptance criteria;
  • pricing and payment;
  • revisions;
  • expenses;
  • confidentiality;
  • intellectual property ownership;
  • cancellation and termination; and
  • any warranties relating to the work.

Unless otherwise expressly provided through a specific Platform service, MakeItAGig.com is not responsible for enforcing agreements between users.

5. Payments

Where payments are made directly between users, MakeItAGig.com is not responsible for collecting, processing, guaranteeing, recovering, or refunding those payments.

Where the Platform provides payment functionality, additional payment terms, fees, refund rules, and dispute procedures may apply.

Users are responsible for reviewing and understanding the applicable payment terms before entering into an engagement.

6. Employment and Independent Contractor Status

The Platform does not determine whether a Freelancer should legally be classified as an employee, independent contractor, consultant, vendor, or other type of worker.

Clients and Freelancers are responsible for determining the appropriate legal relationship between themselves and complying with applicable employment, labour, contractor, minimum wage, benefits, insurance, immigration, and other laws.

Nothing in these Terms creates an employment relationship between MakeItAGig.com and any Freelancer.

7. Taxes and Legal Compliance

Users are responsible for determining and satisfying their own tax obligations arising from transactions conducted through the Platform, including applicable income tax, GST, VAT, sales tax, withholding tax, or similar obligations.

Users are also responsible for obtaining any licences, registrations, permits, insurance, or governmental approvals required for their activities.

8. User-Generated Content and Job Listings

Clients are responsible for the accuracy, legality, and completeness of their job listings.

Users must not post content that is fraudulent, misleading, discriminatory, defamatory, unlawful, infringing, abusive, or intended to facilitate illegal activities.

We may review, restrict, suspend, remove, or refuse content or accounts that we reasonably believe violate these Terms or applicable law.

However, we are not obligated to monitor every job, message, user, transaction, or piece of content published through the Platform.

9. Prohibited Activities

Users must not use the Platform to:

  • conduct fraudulent or deceptive activities;
  • post fake or misleading jobs;
  • impersonate another person or organization;
  • request or perform unlawful work;
  • distribute malware or malicious content;
  • obtain passwords or sensitive information improperly;
  • infringe intellectual property rights;
  • harass, threaten, or exploit other users;
  • manipulate reviews, ratings, transactions, or Platform systems; or
  • circumvent Platform fees or controls where such circumvention is prohibited under applicable Platform policies.

We may suspend or permanently terminate accounts for violations.

10. Disputes Between Users

Disputes concerning work quality, deliverables, deadlines, payments, refunds, intellectual property, confidentiality, or other aspects of an engagement are primarily disputes between the Client and Freelancer.

The Platform may, at its discretion, provide tools or assistance intended to facilitate communication or dispute resolution.

Providing such assistance does not make the Platform responsible for the underlying transaction or dispute.

11. Intellectual Property

Users retain ownership of content they upload to the Platform, subject to the rights necessary for us to operate and display the Platform.

Ownership of intellectual property created by a Freelancer for a Client should be determined by the agreement between those parties.

The Platform does not automatically determine or guarantee ownership of work products exchanged between users.

Users must not upload or provide material that infringes another person’s copyright, trademark, patent, trade secret, or other intellectual property rights.

12. Confidential Information

Clients and Freelancers are responsible for protecting confidential information exchanged during an engagement.

Where necessary, users should enter into appropriate confidentiality or non-disclosure agreements.

The Platform is not responsible for a user’s unauthorized disclosure, misuse, or loss of confidential information shared with that user.

13. Third-Party Services

The Platform may contain links to or integrations with payment providers, communication services, cloud services, identity verification providers, or other third-party services.

We are not responsible for the availability, security, accuracy, practices, or performance of independent third-party services.

Their respective terms and privacy policies may apply.

14. Platform Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability.

The Platform may occasionally be unavailable because of maintenance, technical failures, security incidents, network problems, third-party service failures, or circumstances outside our reasonable control.

We may modify, suspend, discontinue, or restrict features of the Platform where reasonably necessary.

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform and its services are provided on an “as is” and “as available” basis.

We make no guarantee that use of the Platform will result in employment, projects, revenue, successful hiring, satisfactory work, payment, business opportunities, or any particular outcome.

16. Limitation of Liability

To the maximum extent permitted by applicable law, MakeItAGig.com and its owners, directors, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Platform.

This includes, where legally permitted, losses resulting from:

  • unpaid invoices or payment disputes;
  • poor or incomplete work;
  • missed deadlines;
  • fraudulent users or job listings;
  • loss of business or revenue;
  • loss or misuse of information;
  • intellectual property disputes;
  • disagreements between Clients and Freelancers; or
  • decisions made based on information available through the Platform.

Where liability cannot legally be excluded, our liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by law.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless MakeItAGig.com, its owners, directors, employees, and affiliates from claims, losses, liabilities, damages, and reasonable expenses arising from your:

  • use of the Platform;
  • violation of these Terms;
  • violation of applicable law;
  • engagement with another user;
  • infringement of third-party rights; or
  • content, jobs, services, or work provided through the Platform.

18. Account Suspension and Termination

We may suspend, restrict, or terminate access to the Platform where we reasonably believe a user has violated these Terms, engaged in fraudulent or abusive activity, created security or legal risks, or misused the Platform.

Users may stop using the Platform subject to any outstanding contractual or payment obligations.

Termination of a Platform account does not automatically cancel obligations already created between Clients and Freelancers.

19. Changes to These Terms

We may update these Terms periodically to reflect changes to our services, business practices, or legal requirements.

Material changes may be communicated through the Platform or other appropriate means.

Continued use of the Platform after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of [State/Country], without regard to conflict-of-law principles.

Any dispute involving MakeItAGig.com shall be subject to the jurisdiction of the courts located in [City, State/Country], unless applicable law requires otherwise.
